Dear Member,

Notice is hereby given that a Special General Meeting (SGM1) of O’Connell’s GAC, Tullysaran will be held at the time, date, and venue listed above.

This SGM has been convened by the Club Executive Committee under Article 14.1 for the sole purpose of considering, and if thought fit, passing specific constitutional amendments mandated by HM Revenue and Customs (HMRC) to secure the Club's registration as a Community Amateur Sports Club (CASC).

In accordance with Article 8.9 of the Club Constitution, no business other than the resolutions specified below shall be transacted at this meeting.

AGENDA & RESOLUTIONS
Resolution 1: Amendment to Clause 5 (Membership) — Non-Discrimination
* Proposal: To amend Clause 5 of the Club Constitution by adding the following mandatory HMRC model clauses:
    * “The club may have different classes of membership and subscription on a non-discriminatory and fair basis. The club will keep subscriptions at levels that will not pose a significant obstacle to people participating.”
    * “The club committee may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the club or sport into disrepute. Appeal against refusal or removal may be made to the members.”
    * “An Appeal Committee must not contain any person previously involved in the decision to refuse or remove membership.”

Resolution 2: Deletion of Clauses 5.7, 5.8, and 5.9 (Membership Application Process)
* Proposal: To completely delete Clauses 5.7, 5.8, and 5.9 from the Club Constitution to comply with HMRC Section 2.3.8 guidelines, removing requirements for applicants to be proposed/seconded by existing members and removing the requirement to display applicant details on club noticeboards.

Resolution 3: Amendment to Clause 14.1 (Additions to and Amendments of Rules)
* Proposal: To append the following text to the end of limb 14.1:
    * “...and that nothing in the amendments shall prejudice the Club's status as a Community Amateur Sports Club under Part 13, Chapter 9, Corporation Tax Act 2010 and provided that the said amendments shall be consistent with this Constitution.”

Resolution 4: Update to Central Council Regulations for the Six Counties
* Proposal: To update the regulatory schedule text by removing references to the repealed Schedule 18 of the Finance Act 2002 and replacing it with the Corporation Tax Act 2010 (c. 4), s. 1184(1), Sch. 1 para. 374, Sch. 3 Pt. 1.

Voting Eligibility: Only fully paid-up Full Members (over 18) are eligible to vote. These amendments require a three-fifths (60%) majority of those present and voting to pass.
